Terms of Service

These Terms of Service govern the relationship between Accountaholics Limited (company number 09324573, registered in England and Wales) ("we", "us", "our") and our clients ("you", "your"). By engaging our services, you agree to these terms. Please read them carefully. If you have any questions, contact us at [email protected].

1.Our Services

Accountaholics Limited provides professional accountancy and business advisory services including, but not limited to:

  • Limited company accounts and corporation tax returns
  • Self assessment tax returns for individuals, directors, sole traders, and CIS contractors
  • CIS returns and construction industry scheme compliance
  • Bookkeeping and VAT returns
  • Payroll and employer compliance
  • Management accounts and cashflow forecasting
  • Business growth and profit strategy advice
  • Business start-up support and company formation

The specific services to be provided to you will be set out in a separate engagement letter or letter of engagement issued to you prior to commencement of work. These Terms of Service should be read alongside that engagement letter.

2.Engagement and Instructions

We will only act on instructions from you, or from a person you have authorised to give instructions on your behalf. You must notify us promptly in writing if you wish to change the authorised persons who may instruct us.

We will confirm the scope of our engagement in writing. Any material changes to the scope of services must be agreed in writing between both parties before additional work commences.

We reserve the right to decline any instruction that we consider to be outside our competence, that would require us to act contrary to our professional obligations, or that we consider inappropriate for any other reason.

3.Your Responsibilities

To enable us to provide our services effectively, you agree to:

  • Provide us with complete, accurate, and timely information and documentation as requested
  • Inform us promptly of any changes to your circumstances that may affect our work
  • Review and approve all documents, returns, and accounts prepared on your behalf before submission
  • Respond promptly to our requests for information, approval, or instructions
  • Retain all original documents and records as required by law
  • Notify us immediately if you become aware of any errors or omissions in work we have prepared

You remain responsible for the accuracy and completeness of all information provided to us. We will rely on the information you provide without independent verification unless specifically agreed otherwise.

4.Fees and Payment

Our fees will be agreed with you prior to commencement of work and confirmed in your engagement letter. We typically offer fixed monthly fees or agreed fixed fees per assignment, so you always know what you are paying.

Invoices are due for payment within 14 days of the invoice date unless otherwise agreed in writing. We reserve the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

We reserve the right to suspend or terminate services where fees remain unpaid after 30 days, and to withhold delivery of documents, accounts, or tax returns until outstanding fees are settled.

We may review and adjust our fees annually, with at least 30 days' written notice of any increase.

5.Confidentiality

We treat all client information as strictly confidential. We will not disclose your information to any third party without your consent, except:

  • Where required by law or regulation, including HMRC, Companies House, or other statutory bodies
  • Where required by our professional body or regulatory obligations
  • Where disclosure is necessary to prevent fraud or money laundering
  • To our professional indemnity insurers or legal advisers where necessary

Our confidentiality obligations continue after the termination of our engagement.

6.Anti-Money Laundering

As a firm of accountants, we are subject to the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017. We are required to verify the identity of all clients before commencing work and to report any suspicious activity to the National Crime Agency.

You agree to provide us with satisfactory evidence of your identity and, where applicable, the identity of beneficial owners of your business, as required by these regulations. Failure to provide satisfactory identification may prevent us from acting for you.

7.Professional Indemnity

Accountaholics Limited holds professional indemnity insurance as required by our professional obligations. Our liability to you for any claim arising from our services is limited to the amount of our professional indemnity insurance cover in force at the time of the claim.

We will not be liable for any loss arising from your failure to provide complete or accurate information, from your failure to follow our advice, or from circumstances outside our reasonable control.

Nothing in these terms limits our liability for fraud, death, or personal injury caused by our negligence.

8.Intellectual Property

All work product, reports, accounts, and documents prepared by us remain our intellectual property until all fees due have been paid in full. Upon receipt of full payment, ownership of the specific deliverables prepared for you transfers to you.

Our working papers, methodologies, and internal documents remain our property at all times.

9.Termination

Either party may terminate the engagement by giving 30 days' written notice to the other. We may terminate immediately where:

  • You fail to pay fees when due
  • You provide false or misleading information
  • Continuing the engagement would require us to act contrary to our professional obligations or the law
  • There is an irretrievable breakdown in the professional relationship

Upon termination, you remain liable for all fees incurred up to the date of termination. We will provide you with all documents and information to which you are entitled in a timely manner following settlement of any outstanding fees.

10.Complaints

We are committed to providing a high quality of service. If you are dissatisfied with any aspect of our service, please contact us in the first instance at [email protected] or by telephone on 07715 627242.

We will acknowledge your complaint within 5 business days and aim to resolve it within 28 days. If we are unable to resolve your complaint to your satisfaction, you may be entitled to refer the matter to our professional body.

11.Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our engagement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any material changes by email or in writing. Continued use of our services after notification of changes constitutes acceptance of the updated terms.
